Terms of Service

The terms and conditions governing your use of Danipa platforms, services, and APIs.

Effective date: March 2026

1. Acceptance of Terms

By accessing or using any Danipa platform, application, website, or API (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree, you may not use the Services. These terms constitute a legally binding agreement between you and Danipa Business Systems Inc. ("Danipa," "we," "us," or "our").

2. Eligibility

To use our Services, you must: • Be at least 18 years of age (or the age of majority in your jurisdiction). • Be a resident of a country in which Danipa operates (currently Canada, the United States, the United Kingdom, or Ghana). • Not be prohibited from using financial services under applicable law. • Provide accurate, current, and complete information during registration and maintain the accuracy of such information.

3. Account Registration & KYC

You must create an account to use most Services. You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use. We are required by law to verify your identity (Know Your Customer). You must provide valid government-issued identification and any additional documentation we reasonably request. Failure to complete KYC verification may result in restricted access or account suspension.

4. Remittance & Payment Services

When you initiate a remittance or payment through Danipa: • You authorize us to process the transaction on your behalf. • Exchange rates are quoted at the time of transaction and are subject to market fluctuations. • Fees are displayed transparently before you confirm any transaction. • Transactions are generally irreversible once delivered to the recipient's mobile money wallet or bank account. • We reserve the right to delay, suspend, or refuse any transaction if we suspect fraud, legal non-compliance, or violation of these terms.

5. Prohibited Uses

You agree not to use the Services to: • Engage in money laundering, terrorist financing, or any illegal activity. • Process transactions on behalf of undisclosed third parties. • Circumvent any transaction limits, identity verification, or security controls. • Reverse-engineer, decompile, or attempt to extract source code from our applications or APIs. • Interfere with or disrupt the integrity or performance of the Services. • Use our APIs in ways that exceed published rate limits or violate our developer terms.

6. API & Developer Terms

If you access Danipa APIs or developer tools: • You must register for API credentials and keep them confidential. • API usage is subject to published rate limits and fair use policies. • You may not use our APIs to build competing remittance or payment services without written authorization. • We may revoke API access at any time for violation of these terms or our developer policies.

7. Intellectual Property

All content, software, trademarks, logos, and other intellectual property associated with the Services are owned by Danipa Business Systems Inc. or our licensors. You may not copy, modify, distribute, or create derivative works from our intellectual property without prior written consent.

8. Limitation of Liability

To the maximum extent permitted by law, Danipa Business Systems Inc. shall not be liable for: • Indirect, incidental, special, consequential, or punitive damages. • Loss of profits, data, or business opportunities. • Delays or failures caused by third-party payment providers, mobile network operators, or banking systems. • Losses arising from unauthorized access to your account due to your failure to safeguard your credentials. Our total liability for any claim arising from these terms or the Services shall not exceed the fees you paid to Danipa in the twelve (12) months preceding the claim.

9. Suspension & Termination

We may suspend or terminate your access to the Services at any time if: • You breach these terms or applicable law. • We are required to do so by regulatory authorities. • We detect suspicious or fraudulent activity on your account. You may close your account at any time by contacting support@danipa.com. Pending transactions must be completed or cancelled before account closure.

10. Governing Law & Disputes

These terms are governed by the laws of the Province of Ontario, Canada. Any disputes shall be resolved through binding arbitration administered under the rules of the ADR Institute of Canada, held in Kitchener, Ontario. You agree to waive any right to participate in a class action.

11. Changes to These Terms

We may update these terms from time to time. Material changes will be communicated at least 30 days before they take effect via email or a prominent notice on our website. Continued use of the Services after the effective date constitutes acceptance of the updated terms.
